1. General
PriceCalc Pro (hereinafter "the App") is developed and provided by Janine Fabienne Eicker as a sole trader (hereinafter "Provider"). Use of the App is at the user's own risk.
The App is an independent third-party tool and is not officially affiliated with, endorsed by, or in any way connected to Shopify Inc. Shopify® is a registered trademark of Shopify Inc. All rights remain with the respective rights holder.
2. No Warranty for Calculation Results
The App calculates selling prices, cost prices, margins, and other commercial figures based solely on data entered by the user (purchase prices, calculation factors, percentages, VAT/tax rates, etc.).
The Provider makes no warranty as to the accuracy, completeness, or commercial suitability of the calculated results. Incorrect, incomplete, or implausible user input will produce incorrect calculation results for which the Provider accepts no liability.
The App does not replace professional tax, financial, or legal advice. Calculated values — including VAT amounts, margins, and selling prices — do not constitute binding tax or legal advice.
3. Permanent Price Changes in Shopify
The App writes prices and metafields directly and permanently to the user's Shopify store. Once saved, changes cannot be automatically reversed by the App.
The user bears sole responsibility for creating a full data backup before performing any bulk operation (batch save). The App provides export functions for this purpose; however, their use is at the user's discretion.
The Provider accepts no liability for price changes resulting from incorrect input, accidental confirmation, or misuse of the App.
4. Data Backup
Automatic backup functions (local download of JSON files) are optional aids and do not replace a professional data backup strategy. The Provider assumes no responsibility for the loss of data that has not been backed up by the user.
5. Dependency on Third-Party Services
The App relies technically on the Shopify Admin GraphQL API. The Provider has no control over the availability, stability, changes, or restrictions of this API. Outages, API changes by Shopify, or rate-limiting may impair the App's functionality. The Provider accepts no liability for such events.
6. App Availability
The Provider strives for reliable operation but makes no warranty of uninterrupted availability of the App. Maintenance, technical issues, or measures taken by Shopify may temporarily limit access.
7. Limitation of Liability
To the fullest extent permitted by applicable law, the Provider shall not be liable for:
- indirect damages, consequential damages, or loss of profit,
- damages arising from incorrect user input,
- data loss resulting from the user's failure to create backups,
- damages caused by Shopify API outages or changes,
- damages arising from use of the App contrary to its terms of use.
Nothing in this disclaimer limits liability for fraud, gross negligence, or willful misconduct, or for death or personal injury caused by the Provider's negligence. Rights under applicable product liability laws remain unaffected.
For slight negligence in breach of material contractual obligations (cardinal obligations), liability is limited to the foreseeable damage typical for this type of contract.
8. Subscription Plans and Usage Limits
The App operates with a plan-based action system. The Provider reserves the right to adjust limits, plan terms, and included features at any time, provided the user is notified in advance. Changes will not affect already-billed periods.
9. Changes to This Disclaimer
The Provider reserves the right to update this disclaimer at any time. The current version takes effect upon publication. Continued use of the App after an update constitutes acceptance of the revised disclaimer.
10. Governing Law and Jurisdiction
This disclaimer is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For disputes with merchants, the place of jurisdiction is the Provider's registered place of business.
